Making the investment
As an individual, you may invest directly or indirectly through a qualifying partnership in the qualifying company.
Where you invest directly in the company, the investment must be in fully paid-up shares. You must have no other connection with the company.
The minimum investment amount is €20,000. This minimum investment amount is reduced to €10,000 if there is more than a 5% shareholding in the company.
Note
Your total shareholding in the company may not be more than 49%.
- Example
Natalia acquires 1,000 shares in a qualifying company for €12,000. Natalia’s shareholding represents 6% of the ordinary share capital of the company. This investment satisfies the minimum investment criteria.
Before you make the investment, the company must provide copies of the Certificates of Qualification, comprised of:
- a Certificate of Going Concern
- and
- a Certificate of Commercial Innovation.
You can confirm that these certificates are valid on the date of investment by checking the public register. The public register contains information on the companies who hold Certificates of Qualification and the validity dates of those certificates.
You should retain these certificates for your records. They are your evidence that the company was a qualifying company at the time that you made the investment.
The company must also inform Revenue of the investment.
